VỀ VIỆC THÀNH LẬP CÔNG TY MẸ - TẬP ĐOÀN ĐIỆN LỰC VIỆT NAM

THỦ TƯỚNG CHÍNH PHỦ

Căn cứ Luật Tổ chức Chính phủ ngày 25 tháng 12 năm 2001;
Căn cứ Luật Doanh nghiệp nhà nước ngày 26 tháng 11 năm 2003;
Căn cứ Luật Doanh nghiệp ngày 29 tháng 11 năm 2005;
Căn cứ Nghị định số 153/2004/NĐ-CP ngày 09 tháng 8 năm 2004 của Chính phủ về tổ chức, quản lý tổng công ty nhà nước và chuyển đổi tổng công ty nhà nước, công ty nhà nước độc lập theo mô hình công ty mẹ - công ty con;
Căn cứ Quyết định số 147/2006/QĐ-TTg ngày 22 tháng 6 năm 2006 của Thủ tướng Chính phủ về việc phê duyệt Đề án thí điểm hình thành Tập đoàn Điện lực Việt Nam;
Xét đề nghị của Hội đồng quản trị Tổng công ty Điện lực Việt Nam,

QUYẾT ĐỊNH :

Điều 1. Thành lập Công ty mẹ - Tập đoàn Điện lực Việt Nam (sau đây gọi là Tập đoàn Điện lực Việt Nam) trên cơ sở tổ chức lại cơ quan quản lý, điều hành và một số đơn vị hạch toán phụ thuộc của Tổng công ty Điện lực Việt Nam.

1. Tập đoàn Điện lực Việt Nam là công ty nhà nước, có tư cách pháp nhân, con dấu, biểu tượng, Điều lệ tổ chức và hoạt động; được mở tài khoản tại Kho bạc Nhà nước, ngân hàng theo quy định của pháp luật; được tự chủ kinh doanh; có trách nhiệm kế thừa các quyền và nghĩa vụ pháp lý của Tổng công ty Điện lực Việt Nam. 

2. Tên gọi đầy đủ: Tập đoàn Điện lực Việt Nam 

Tên giao dịch quốc tế: Vietnam Electricity, viết tắt là EVN.

3. Trụ sở chính: số 18 phố Trần Nguyên Hãn, quận Hoàn Kiếm, thành phố Hà Nội.

4. Vốn điều lệ của Tập đoàn Điện lực Việt Nam là vốn chủ sở hữu của Tổng công ty Điện lực Việt Nam tại thời điểm ngày 01 tháng 01 năm 2006, sau khi đã kiểm toán.

5. Ngành, nghề kinh doanh của Tập đoàn Điện lực Việt Nam:

- Công nghiệp điện năng: sản xuất, truyền tải, phân phối và kinh doanh điện năng;

- Khảo sát thiết kế, tư vấn xây dựng, xây lắp, bảo dưỡng các công trình điện, công trình công nghiệp, dân dụng, công trình viễn thông - công nghệ thông tin;

- Sản xuất, sửa chữa, thí nghiệm thiết bị điện và phụ kiện điện, cấu kiện thép bê tông và cung ứng vật tư thiết bị ngành điện;

- Khai thác nguyên liệu phi quặng;

- Sản xuất vật liệu xây dựng, vật liệu cách điện, cách nhiệt; trang bị bảo hộ lao động;

- Xuất nhập khẩu điện năng, vật tư thiết bị phục vụ ngành điện;

- Vận tải thủy bộ phục vụ sản xuất, kinh doanh;

- Kinh doanh khách sạn, du lịch;

- Sản xuất hàng tiêu dùng, nước giải khát;

- Hợp tác đào tạo lao động với nước ngoài;

- Kinh doanh các dịch vụ: viễn thông công cộng và internet (trong nước và quốc tế); viễn thông đường trục; truyền thông, quảng cáo; 

- Kinh doanh các dịch vụ công nghệ thông tin (nghiên cứu, phát triển, tư vấn và đào tạo) trong và ngoài nước;

- Sản xuất, kinh doanh xuất nhập khẩu, cung ứng vật tư, thiết bị viễn thông, công nghệ thông tin;

- Kinh doanh bất động sản, cho thuê văn phòng;

- Đầu tư tài chính và kinh doanh vốn trong nước và ngoài nước;

- Hoạt động tài chính, chứng khoán, ngân hàng, bảo hiểm;

- Tổ chức đào tạo nguồn nhân lực đáp ứng nhu cầu phát triển ngành điện lực, viễn thông, tài chính, ngân hàng;

- Các ngành, nghề khác theo quy định của pháp luật.

6. Cơ cấu quản lý và điều hành của Tập đoàn Điện lực Việt Nam gồm:

 a) Hội đồng quản trị Tập đoàn Điện lực Việt Nam là đại diện trực tiếp chủ sở hữu nhà nước tại Tập đoàn Điện lực Việt Nam, có tối đa 09 thành viên, trong đó Chủ tịch Hội đồng quản trị và Trưởng ban kiểm soát là thành viên chuyên trách. Thành viên Hội đồng quản trị do Thủ tướng Chính phủ bổ nhiệm theo đề nghị của Bộ trưởng Bộ Công nghiệp;

b) Ban kiểm soát Tập đoàn Điện lực Việt Nam do Hội đồng quản trị Tập đoàn Điện lực Việt Nam bổ nhiệm, có tối đa 05 thành viên, trong đó Trưởng ban kiểm soát là ủy viên Hội đồng quản trị; 

c) Tổng giám đốc Tập đoàn Điện lực Việt Nam do Hội đồng quản trị Tập đoàn Điện lực Việt Nam bổ nhiệm hoặc ký hợp đồng sau khi được Thủ tướng Chính phủ chấp thuận;

d) Giúp việc Tổng giám đốc có các Phó tổng giám đốc và kế toán trưởng do Hội đồng quản trị Tập đoàn Điện lực Việt Nam bổ nhiệm theo đề nghị của Tổng giám đốc;

đ) Bộ máy giúp việc Hội đồng quản trị và Tổng giám đốc Tập đoàn Điện lực Việt Nam có văn phòng và các ban chức năng tham mưu.

7. Mối quan hệ giữa Công ty mẹ - Tập đoàn Điện lực Việt Nam với chủ sở hữu nhà nước và các công ty con, công ty liên kết được thực hiện theo pháp luật và quy định trong Điều lệ tổ chức và hoạt động của Tập đoàn Điện lực Việt Nam.

Chính phủ thống nhất quản lý và tổ chức thực hiện các quyền, nghĩa vụ của chủ sở hữu nhà nước đối với Tập đoàn Điện lực Việt Nam . Thủ tướng Chính phủ giao cho các Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ và Hội đồng quản trị Tập đoàn Điện lực Việt Nam thực hiện một số quyền của chủ sở hữu theo quy định của pháp luật.

a) Thủ tướng Chính phủ quyết định:

- Phê duyệt mục tiêu, chiến lược, kế hoạch dài hạn và ngành, nghề kinh doanh của Tập đoàn Điện lực Việt Nam trên cơ sở đề nghị của Hội đồng quản trị Tập đoàn Điện lực Việt Nam và ý kiến của các Bộ: Công nghiệp và Kế hoạch và Đầu tư; 

- Phê duyệt điều lệ, phê duyệt sửa đổi và bổ sung điều lệ Tập đoàn Điện lực Việt Nam theo đề nghị của Hội đồng quản trị Tập đoàn Điện lực Việt Nam và ý kiến của các Bộ: Công nghiệp, Tài chính, Kế hoạch và Đầu tư;

- Tổ chức lại, giải thể, đa dạng hoá sở hữu Tập đoàn Điện lực Việt Nam  theo đề nghị của Hội đồng quản trị Tập đoàn Điện lực Việt Nam và ý kiến của các Bộ: Công nghiệp, Tài chính, Kế hoạch và Đầu tư;

- Bổ nhiệm Chủ tịch và thành viên Hội đồng quản trị  Tập đoàn Điện lực Việt Nam theo đề nghị của Bộ trưởng Bộ Công nghiệp và thẩm định của Bộ Nội vụ;

- Phê chuẩn việc bổ nhiệm hoặc ký hợp đồng với Tổng giám đốc Tập đoàn Điện lực Việt Nam theo đề nghị của Hội đồng quản trị Tập đoàn Điện lực Việt Nam,  ý kiến của Bộ Công nghiệp và thẩm định của Bộ Nội vụ;

- Thông qua đề án thành lập mới doanh nghiệp do Tập đoàn Điện lực Việt Nam đầu tư 100% vốn điều lệ; việc tổ chức lại, chuyển đổi sở hữu, giải thể, phá sản doanh nghiệp thành viên Tập đoàn Điện lực Việt Nam; việc Tập đoàn Điện lực Việt Nam tiếp nhận thành viên mới;

- Phê duyệt các dự án đầu tư của Tập đoàn Điện lực Việt Nam, các dự án đầu tư ra ngoài Tập đoàn Điện lực Việt Nam thuộc thẩm quyền quyết định của Thủ tướng Chính phủ theo quy định của pháp luật về đầu tư;

- Quyết định việc đầu tư vốn để hình thành vốn điều lệ và điều chỉnh vốn điều lệ trong quá trình hoạt động đối với Tập đoàn Điện lực Việt Nam theo đề nghị của Hội đồng quản trị Tập đoàn Điện lực Việt Nam và ý kiến của các Bộ:  Công nghiệp, Tài chính, Kế hoạch và Đầu tư.

b) Bộ Công nghiệp:

- Trình Thủ tướng Chính phủ quyết định bổ nhiệm Chủ tịch và thành viên Hội đồng quản trị Tập đoàn Điện lực Việt Nam; 

- Báo cáo Thủ tướng Chính phủ ý kiến khi Hội đồng quản trị Tập đoàn Điện lực Việt Nam trình Thủ tướng Chính phủ về:

+ Mục tiêu, chiến lược, kế hoạch dài hạn và ngành, nghề kinh doanh của Tập đoàn Điện lực Việt Nam;

+ Điều lệ, phê duyệt sửa đổi và bổ sung điều lệ Tập đoàn Điện lực Việt Nam; 

+ Tổ chức lại, giải thể, đa dạng hoá sở hữu Tập đoàn Điện lực Việt Nam. 

- Giám sát thực hiện các dự án đầu tư của Tập đoàn Điện lực Việt Nam thuộc thẩm quyền theo quy định của pháp luật về đầu tư.

c) Bộ Tài chính:

- Kiểm tra, giám sát việc sử dụng vốn của Tập đoàn Điện lực Việt Nam; đánh giá hiệu quả hoạt động kinh doanh, hoạt động quản lý của Hội đồng quản trị Tập đoàn Điện lực Việt Nam;

- Phê duyệt Quy chế quản lý tài chính Tập đoàn Điện lực Việt Nam theo đề nghị của Hội đồng quản trị Tập đoàn Điện lực Việt Nam;

- Thực hiện việc đầu tư vốn để hình thành vốn điều lệ và điều chỉnh vốn điều lệ trong quá trình hoạt động của Tập đoàn Điện lực Việt Nam sau khi được Thủ tướng Chính phủ chấp thuận. 

d) Bộ Nội vụ:

- Thẩm định trình Thủ tướng Chính phủ bổ nhiệm Chủ tịch Hội đồng quản trị, thành viên Hội đồng quản trị Tập đoàn Điện lực Việt Nam;

- Thẩm định trình Thủ tướng Chính phủ chấp thuận để Hội đồng quản trị Tập đoàn Điện lực Việt Nam bổ nhiệm, ký hợp đồng với Tổng giám đốc;

- Hướng dẫn trình tự, thủ tục bổ nhiệm, miễn nhiệm, cách chức, khen thưởng, kỷ luật đối với Chủ tịch Hội đồng quản trị, thành viên Hội đồng quản trị Tập đoàn Điện lực Việt Nam.

đ) Bộ Kế hoạch và Đầu tư:

Giám sát việc thực hiện các mục tiêu, nhiệm vụ được Thủ tướng Chính phủ giao của Tập đoàn Điện lực Việt Nam. 

e) Các Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ thực hiện chức năng quản lý nhà nước trong các lĩnh vực liên quan đối với Tập đoàn Điện lực Việt Nam;

g) Hội đồng quản trị Tập đoàn Điện lực Việt Nam: là đại diện trực tiếp chủ sở hữu nhà nước tại Tập đoàn Điện lực Việt Nam và đại diện chủ sở hữu đối với công ty do mình đầu tư toàn bộ vốn điều lệ. 

Hội đồng quản trị Tập đoàn Điện lực Việt Nam:

- Xây dựng đề án thành lập mới, tổ chức lại, giải thể, chuyển đổi sở hữu trong Tập đoàn Điện lực Việt Nam trình Thủ tướng Chính phủ; triển khai thực hiện theo đề án đã được phê duyệt;

- Quyết định mục tiêu, chiến lược, kế hoạch dài hạn và ngành, nghề kinh doanh của Tập đoàn Điện lực Việt Nam sau khi được Thủ tướng Chính phủ phê duyệt và của công ty do Tập đoàn Điện lực Việt Nam sở hữu toàn bộ vốn điều lệ;

- Phê duyệt điều lệ, phê duyệt sửa đổi và bổ sung điều lệ của công ty thành viên do Tập đoàn Điện lực Việt Nam nắm giữ toàn bộ vốn điều lệ;

- Quyết định sử dụng, đầu tư và điều chỉnh vốn, các nguồn lực khác do Tập đoàn Điện lực Việt Nam đầu tư đối với các công ty thành viên, nhưng phải đảm bảo yêu cầu mức vốn điều lệ khi thành lập doanh nghiệp hoặc mức vốn pháp định đối với các ngành, nghề theo quy định của pháp luật;

- Quyết định sử dụng vốn của Tập đoàn Điện lực Việt Nam để đầu tư thành lập đơn vị thành viên do Tập đoàn Điện lực Việt Nam sở hữu toàn bộ vốn điều lệ nhưng không vượt quá mức vốn đầu tư thuộc thẩm quyền quyết định của Hội đồng quản trị và sau khi có sự chấp thuận của Thủ tướng Chính phủ; 

- Phê duyệt đề án góp vốn của công ty thành viên do mình nắm giữ toàn bộ vốn điều lệ để thành lập mới các công ty cổ phần nhà nước, công ty trách nhiệm hữu hạn nhà nước một thành viên, công ty trách nhiệm hữu hạn nhà nước hai thành viên trở lên ngoài ngành, lĩnh vực, địa bàn quy định tại Điều 6 Luật Doanh nghiệp nhà nước;

- Quyết định hoặc ủy quyền cho Tổng giám đốc quyết định các dự án góp vốn liên doanh với chủ đầu tư nước ngoài, dự án đầu tư ra nước ngoài của công ty thành viên do mình nắm giữ toàn bộ vốn điều lệ;

- Quyết định bổ nhiệm, miễn nhiệm, cách chức, ký hợp đồng, chấm dứt hợp đồng, khen thưởng, kỷ luật Tổng giám đốc sau khi được Thủ tướng Chính phủ chấp thuận;

- Kiểm tra, giám sát Chủ tịch và thành viên Hội đồng thành viên, Chủ tịch Công ty, Tổng giám đốc, giám đốc đơn vị thành viên trong việc thực hiện các chức năng, nhiệm vụ theo quy định của Luật Doanh nghiệp nhà nước, Luật Doanh nghiệp và Điều lệ Tập đoàn Điện lực Việt Nam.

8. Cơ cấu tổ chức của Công ty mẹ - Tập đoàn Điện lực Việt Nam tại thời điểm thành lập bao gồm:

- Công ty Thuỷ điện Hoà Bình;

- Công ty Thuỷ điện Yaly;

- Công ty Thuỷ điện Trị An;

- Trung tâm Điều độ hệ thống điện quốc gia;

- Trung tâm Thông tin điện lực;

- Các Ban quản lý dự án nguồn điện;

- Ban quản lý dự án Trung tâm Điều hành và Thông tin viễn thông ngành điện lực.

9. Các công ty do Tập đoàn Điện lực Việt Nam nắm giữ 100% vốn điều lệ:

a) Các công ty trách nhiệm hữu hạn một thành viên:

- Công ty trách nhiệm hữu hạn một thành viên Nhiệt điện Cần Thơ;

- Công ty trách nhiệm hữu hạn một thành viên Nhiệt điện Phú Mỹ;

- Công ty trách nhiệm hữu hạn một thành viên Nhiệt điện Thủ Đức;

- Công ty trách nhiệm hữu hạn một thành viên Điện lực Hải Dương;

- Công ty trách nhiệm hữu hạn một thành viên Điện lực Ninh Bình;

- Công ty trách nhiệm hữu hạn một thành viên Điện lực Đà Nẵng.

b) Các công ty chuyển thành công ty trách nhiệm hữu hạn một thành viên năm 2006 - 2007:

- Công ty Điện lực thành phố Hà Nội;

- Công ty Điện lực thành phố Hồ Chí Minh;

- Công ty Điện lực Đồng Nai;

- Công ty Điện lực Hải Phòng;

- Công ty Thông tin Viễn thông điện lực.

c) Các công ty tổ chức lại thành một công ty:

- Công ty Truyền tải điện 1;

- Công ty Truyền tải điện 2;

- Công ty Truyền tải điện 3;

- Công ty Truyền tải điện 4.

10. Các công ty do Tập đoàn Điện lực Việt Nam nắm giữ trên 50% vốn điều lệ:

a) Các công ty cổ phần:

- Công ty cổ phần Thuỷ điện Vĩnh Sơn - Sông Hinh;

- Công ty cổ phần Thuỷ điện Thác Bà;

- Công ty cổ phần Nhiệt điện Hải phòng;

- Công ty cổ phần Nhiệt điện Quảng Ninh;

- Công ty cổ phần Chế tạo thiết bị điện;

- Công ty cổ phần Cơ khí điện lực;

- Công ty cổ phần Cơ điện miền Trung;

- Công ty cổ phần Nhiệt điện Phả Lại;

- Công ty cổ phần Điện lực Khánh Hòa.

b) Các công ty cổ phần hoá vào các năm 2006 - 2007:

- Công ty Thuỷ điện Đa Nhim - Hàm Thuận - Đa Mi;

- Công ty Thuỷ điện Thác Mơ;

- Công ty Nhiệt điện Uông Bí;

- Công ty Nhiệt điện Ninh Bình;

- Công ty Nhiệt điện Bà Rịa;

- Trung tâm Công nghệ thông tin;

- Công ty Cơ điện Thủ Đức;

- Công ty Tư vấn xây dựng điện 1;

- Công ty Tư vấn xây dựng điện 2;

- Công ty Tư vấn xây dựng điện 3;

- Công ty Tư vấn xây dựng điện 4; 

- Công ty Điện lực 1;

- Công ty Điện lực 2;

- Công ty Điện lực 3.

11. Các công ty liên kết của Tập đoàn Điện lực Việt Nam :

- Công ty cổ phần Phát triển điện Việt Nam;

- Công ty cổ phần Đầu tư và Phát triển điện Sê san 3A;

- Công ty TNHH IQLinks;

- Ngân hàng Thương mại cổ phần An Bình;

- Công ty cổ phần Thủy điện miền Trung;

- Công ty cổ phần Đầu tư và Phát triển điện Việt - Lào.

12. Các đơn vị sự nghiệp:

- Viện Năng lượng; 

- Trường Đại học Điện lực;

- Trường Cao đẳng Điện lực thành phố Hồ Chí Minh;

- Trường Cao đẳng Điện lực miền Trung;

- Trường Đào tạo nghề điện.

13. Hội đồng quản trị Tập đoàn Điện lực Việt Nam bổ sung công ty con, công ty liên kết theo quy định của pháp luật.

Điều 2. Tổ chức thực hiện:

1. Bộ Công nghiệp trình Thủ tướng Chính phủ quyết định bổ nhiệm Chủ tịch và thành viên Hội đồng quản trị Tập đoàn Điện lực Việt Nam. 

2. Bộ Tài chính phê duyệt Quy chế quản lý tài chính của Tập đoàn Điện lực Việt Nam theo đề nghị của Hội đồng quản trị Tập đoàn Điện lực Việt Nam.

3. Hội đồng quản trị Tập đoàn Điện lực Việt Nam: 

- Trình Thủ tướng Chính phủ phê duyệt Điều lệ tổ chức và hoạt động của Tập đoàn Điện lực Việt Nam.

- Trình Thủ tướng Chính phủ chấp thuận để bổ nhiệm hoặc ký hợp đồng với Tổng giám đốc Tập đoàn Điện lực Việt Nam.

- Trình Bộ Tài chính phê duyệt Quy chế quản lý tài chính của Tập đoàn Điện lực Việt Nam.

Điều 3. Quyết định này có hiệu lực thi hành sau 15 ngày, kể từ ngày đăng Công báo.

Bộ trưởng các Bộ: Công nghiệp, Tài chính, Kế hoạch và Đầu tư, Lao động - Thương binh và Xã hội, Nội vụ, Thủ trưởng các cơ quan liên quan, Ban Chỉ đạo đổi mới và Phát triển doanh nghiệp, Hội đồng quản trị Tổng công ty Điện lực Việt Nam và Hội đồng quản trị Tập đoàn Điện lực Việt Nam chịu trách nhiệm thi hành Quyết định này./.

DECISION

ON FORMING THE PARENT COMPANY – VIETNAM ELECTRICITY GROUP

THE PRIME MINISTER

Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the Law on State Enterprises dated November 26, 2003;
Pursuant to the Law on Enterprises dated November 29, 2005;
Pursuant to Decree No. 153/2004/ND-CP dated August 9, 2004 of the Government on the organization and management of the State corporations and the transformation of the State corporations and independent State companies into ones operating after the parent - subsidiary company model;
Pursuant to Decision No. 147/2006/QD-TTg dated June 22, 2006 of the Prime Minister on approving the Scheme on experimentally forming the Vietnam Electricity Group.
Considering the proposal of the Management Board of the Vietnam Electricity Corporation,

DECIDES:

Article 1.

To form the parent company – Vietnam Electricity Group (hereinafter referred to as Vietnam Electricity) on the basis of reorganizing the management and execution agencies and a number of dependent accounting units of the Vietnam Electricity Corporation as follows:

1. The Vietnam Electricity Group shall be a State company with its owned legal status, seal and logo, charter on organization and operation; be allowed to open its account at the State Treasury and banks in accordance with the provisions of law; do business independently and have responsibility to inherit the powers, legitimate rights and obligations of the Vietnam Electricity Corporation.

2. The full name: Vietnam Electricity Group.

The international transaction name: Vietnam Electricity, the abbreviate name: EVN.

3. The head office: 18 Tran Nguyen Han, Hoan Kiem District, Hanoi city.

4. The charter capital of the Vietnam Electricity Group shall be the capital owned by the Vietnam Electricity Corporation at the time of January 1, 2006 after auditing.

5. Business lines of the Vietnam Electricity Group:

- Electricity industry: manufacturing, transmitting, distributing and doing business in electricity;

- Surveying, designing, construction consulting, assembling and maintaining electrical works, industrial and civil works, informatics technology and communications works;

- Manufacturing, repairing, testing electrical equipment and accessories, building components of concrete steel and supplying electrical materials and equipment;

- Exploring non-ore materials;

- Manufacturing construction materials, insulating materials and labor protecting equipment;

- Importing and exporting electricity, materials and equipment for the electrical industry;

- Water and land transportation in service of the trading and manufacturing activities;

- Doing business in hotels and tourism;

- Manufacturing consumer goods and beverage;

- Cooperating with foreign countries in training laborers;

- Trading in services of: public communications and Internet (domestic and international); pivot communications, broadcasting and advertising;

- Trading in services related to informatics technology (studying, developing, consulting and training) domestically and abroad;

- Manufacturing, importing and exporting, supplying informatics technology and communication materials and equipment;

- Trading in real estate and office leasing;

- Conducting financial investment and trading in capital domestically and abroad;

- Operating in finance, securities, banks and insurance;

- Training human resources to meet the development demand of electric, communications, finance and bank industries;

- Other services according to the provisions of law.

6. The operation and management apparatuses of the Vietnam Electricity Group:

a) The Management Board of the Vietnam Electricity Group shall be the direct representative of the State’s owner in the Group, and be composed of 9 members (maximum), of which the chairman of the Management Board and the head of the Control Board shall be the full time members. Members of the Management Board shall be appointed by the Prime Minister at the proposal of the Minister Industry;

b) The members of the Control Board shall be appointed by the Management Board of the Vietnam Electricity Group, and be composed of 05 members (maximum), of which the head of the Control Board shall be the member of the Management Board;

c) The General Director of the Vietnam Electricity Group shall be appointed or signed contract by the Management Board of the Group after obtaining the approval of the Prime Minister;

d) The General Director shall be assisted by the deputy general directors and the chief accountant appointed by the Management Board of the Vietnam Electricity Group at the proposal of the General Director.

e) The Management Board and the General Director of the Vietnam Electricity Group shall be assisted by the Office and advising apparatuses.

7. The relationship between the parent company – Vietnam Electricity Group with the state owner, subsidiary and associated companies shall be according to the provisions of law and stipulations in the Regulation on organization and operation of the Vietnam Electricity Group.

The Government shall unify the management and organize the implementation of rights and obligations of the state owner for the Vietnam Electricity Group. The Prime Minister shall authorize the ministers, the heads of the ministerial-level agencies, the agencies attached to the Government and the Management Board of the Vietnam Electricity Group to carry out a number of rights of the owner according to the provisions of law.

a) The Prime Minister shall decide:

- To approve the targets, strategies, long-term plans and business lines for the Vietnam Electricity Group at the proposals of the Management Board of the Vietnam Electricity Group and according to opinions of the Ministry of Industry and the Ministry of Planning and Investment;

- To approve the Charter, amendments and supplements of the Charter of the Vietnam Electricity Group at the proposal of the Management Board of the Vietnam Electricity Group and according to opinions of the ministries of Industry, Finance, Planning and Investment;

- To reorganize, dissolve and diversify the ownership of the Vietnam Electricity Group on the proposal of the Management Board of the Vietnam Electricity Group and according to opinions of the ministries of Industry, Finance, Planning and Investment;

- To appoint the Chairman and the members of the Management Board of the Vietnam Electricity Group at the proposals of the Minister of Industry and the appraisal of the Ministry of Security;

- To approve the appointment or contract signature with the General Director of the Vietnam Electricity Group at the proposals of the Management Board of the Vietnam Electricity Group, according to opinions of the Ministry of Industry and the appraisal of the Ministry of Security;

- To approve the project on new establishment of the enterprises, 100% of their charter capital invested by the Vietnam Electricity Group; the reorganization, ownership transformation, dissolvent and bankruptcy of the member enterprises of the Vietnam Electricity Group; the acceptance of new members of the Vietnam Electricity Group;

- To approve the investment projects of the Vietnam Electricity Group, the projects invested out of the Vietnam Electricity Group under the decision of the Prime Minister according to the provisions of law on investment;

- To decide on the capital investment to form the charter capital and adjust the charter capital during the operation process of the Vietnam Electricity Group according to the proposals of the Management Board of the Vietnam Electricity Group and according to opinions of the ministries of Industry, Finance, Planning and Investment.

b) The Ministry of Industry:

- To submit the decision on appointment of the Chairman and the members of the Management Board of the Vietnam Electricity Group to the Prime Minister;

- To deliver opinions to the Prime Minister when the Management Board of the Vietnam Electricity Group reports to the Prime Minister on:

+ Targets, strategies, long-term plans and business lines of the Vietnam Electricity Group;

+ Regulation, approval on the amendments and supplements of the Regulation of the Vietnam Electricity Group;

+ Reorganization, dissolvent and ownership diversification of the Vietnam Electricity Group.

- To supervise the implementation of the investment projects of the Vietnam Electricity Group according to the provisions of law on investment.

c) The Ministry of Finance:

- To inspect and supervise the capital usage of the Vietnam Electricity Group; to assess the effects of business and management activities of the Vietnam Electricity Group;

- To approve the Regulation on financial management of the Vietnam Electricity Group at the proposal of the Management Board of the Vietnam Electricity Group;

- To conduct the capital investment to form the charter capital and adjust the charter capital during the operation process of the Vietnam Electricity Group after receiving the approval of the Prime Minister.

d) The Ministry of Home Affairs:

- To appraise and submit to the Prime Minister the appointment of the Chairman and the members of the Management Board of the Vietnam Electricity Group;

- To appraise and submit to the Prime Minister for approval for the Management Board of the Vietnam Electricity Group to appoint and sign contact with the General Director;

- To guide the order and procedures on appointment, dismissal, reward and punishment for the Chairman and the members of the Management Board of the Vietnam Electricity Group.

e) The Ministry of Planning and Investment:

To supervise the implementation of the targets and tasks of the Vietnam Electricity Group assigned by the Prime Minister.

f) The ministries, the ministerial-level agencies, the agencies attached to the Government shall carry out the State management functions in the related fields for the Vietnam Electricity Group.

g) The Management Board of the Vietnam Electricity Group shall be the direct State-owned representative in the Vietnam Electricity Group and the owner’s representative for the companies, 100% of their charter capital invested by the Vietnam Electricity Group.

The Management Board of the Vietnam Electricity Group:

- To build and submit to the Prime Minister for approval projects on new establishment, reorganization, dissolvent and ownership transformation within the Vietnam Electricity Group and deploy the approved projects;

- To decide on the targets, strategies, long-term plans and business lines of the Vietnam Electricity Group after getting the approval of the Prime Minister and of the companies, 100% of their capital owned by the Vietnam Electricity Group;

- To approve the Regulation, approve the amendments and supplements of the Regulation of the member companies, 100% of their charter capital held by the Vietnam Electricity Group;

- To decide on use, investment and adjustment of capital and other sources invested by the Vietnam Electricity Group to the member companies, which meet the requirements on charter capital level when established or on the legal capital level for business lines according to the provisions of law.

- To decide to use capital of the Vietnam Electricity Group to establish member units, 100% of their charter capital owned by the Vietnam Electricity Group but the capital must not surpass the investment capital decided by the Management Board and must get the approval of the Prime Minister;

- To approve the capital contribution projects of the companies, 100% of their charter capital held by the Vietnam Electricity Group for the new establishment of the State joint stock companies, the State one member limited companies, the State limited companies with 2 members onward outside the branches, fields and locations specified at Article 6 of the Law on State Enterprises;

- To decide or grant authority to the General Director to decide on the joint venture projects with foreign investors, and projects invested abroad of the member companies, 100% of their charter capital held by the Vietnam Electricity Group.

- To decide on appointment, dismissal, contract signature, contract termination, reward and punishment for General Director after getting the approval of the Prime Minister;

- To inspect and supervise the Chairman and members of the Management Board, the Chairman of the company, the General Director and directors of the member units in implementation of tasks and functions according to the Law on State Enterprise, Enterprise Law and Regulation of the Vietnam Electricity Group.

8. Organizational structure of the parent company - Vietnam Electricity Group at the time of establishment includes:

- The Hoa Binh Hydroelectric Company;

- Yaly Hydroelectric Company;

- Tri An Hydroelectric Company;

- The National Electric System Regulation Center;

- The Electric Information Center;

- The Electric Source Project Management Boards;

- The Management Board of Executive Center and Electric Telecoms Projects.

9. Companies with 100% of their charter capital held by the Vietnam Electricity Group:

a) One member limited companies:

- Can Tho Thermo-Electric One-member Company Limited;

- Phu My Thermo-Electric One-member Company Limited;

- Thu Duc Thermo-Electric One-member Company Limited;

- Hai Duong Electric One-member Company Limited;

- Ninh Binh Electric One-member Company Limited;

- Da Nang Electric One-member Company Limited;

b) Companies to be transformed into one-member limited companies in the 2006-2007 period:

- Hanoi Electric Company;

- Hochiminh Electric Company;

- Dong Nai Electric Company;

- Hai Phong Electric Company;

- EVN Telecoms;

c) Companies to be reorganized to one company:

- Electric Transmission Company No.1;

- Electric Transmission Company No.2;

- Electric Transmission Company No.3;

- Electric Transmission Company No.4;

10. Companies with over 50% of their capital held by the Vietnam Electricity Group:

a) Joint-stock companies:

- Vinh Son - Song Hinh Hydro-electric Joint Stock Company;

- Thac Ba Hydro-electric Joint Stock Company;

- Hai Phong Thermo-electric Joint Stock Company;

- Quang Ninh Thermo-electric Joint Stock Company;

- Electric Equipment Manufacturing Joint Stock Company;

- The Electro-mechanical Joint Stock Company;

- Central Electro-mechanical Joint Stock Company;

- Pha Lai Thermo-electric Joint Stock Company;

- Khanh Hoa Thermo-electric Joint Stock Company;

b) Companies to be equitized in the 2006-2007 period:

- Da Nhim – Ham Thuan – Da Mi Hydro-electric Company;

- An Binh Commercial Joint Stock Bank;

- The Central Hydro-electric Joint Stock Company;

- The Vietnam-Laos Electric Development and Investment Joint Stock Company.

12. Non-business units:

- The Energy Institute;

- The Electric University;

- The Electric College of Ho Chi Minh city;

- The Central Electric College;

- The Electric Vocational Training College;

13. The Management Board of the Vietnam Electricity Group shall supplement the subsidiary and associated companies according to the provisions of law.

Article 2.

Organization of implementation

1. The Ministry of Industry shall submit the decision on appointment of the chairman and members of the Management Board of the Vietnam Electricity Group to the Prime Minister.

2. The Ministry of Finance shall approve the Financial Regulation the Vietnam Electricity Group at the proposal of the Group’s Management Board.

3. The Management Board the Vietnam Electricity Group shall:

- Submit the Charter on operation and organization of the Vietnam Electricity Group to the Prime Minister for approval.

- Submit the appointment or contract signature with the General Director of the Vietnam Electricity Group to the Prime Minister for acceptance.

- Submit the Financial Management Regulation of the Vietnam Electricity Group to the Ministry of Finance.

Article 3.

This Decision takes effect 15 days after its publication in CONG BAO.

The ministers of Industry; Finance; Planning and Investment; Labor, Invalids and Social Affairs, and Home Affairs; the heads of the concerned agencies; the Steering Committee for Enterprise Renewal and Development; and the Management Board of the Vietnam Electricity Corporation and the Management Board of the Vietnam Electricity Group shall have to implement this Decision.
